READ THESE TERMS CAREFULLY BEFORE BROWSING THE WEBSITE OR OTHERWISE USING THE PLATFORM. USING ANY PART OF THE PLATFORM INDICATES THAT YOU HAVE BOTH READ AND ACCEPTED THESE TERMS. YOU CANNOT USE THE PLATFORM OR OUR SERVICES IF YOU DO NOT ACCEPT THESE TERMS.
By using the Platform or otherwise accessing the Platform, creating or registering an Account, downloading content or other information, you agree that you are the age of lawful capacity to form binding legal contracts in your jurisdiction of residence; provided that, in no event, will you be permitted to use the Platform if you are under the age of 18. If you are using the Platform on behalf of a company or other entity, then "you" includes you and that company or entity, and you represent and warrant that you are an authorised representative of the entity with the authority to bind the entity to these Terms, and you agree to these Terms on the entity's behalf.
Accepted Currencies: EUR (Euro) or any other accepted currency as notified by DailyPrep from time to time.
Applicable Law: any and all applicable laws and regulations, the prevailing rules and regulations of any regulatory authority.
Business Day: means a day other than (i) a Saturday or Sunday, (ii) a holiday, or (iii) a day on which DailyPrep remains closed in accordance with Applicable Law.
Platform: DailyPrep's software, website, platform and online services, including the meal planning application and all related services.
Services: any services DailyPrep may provide through the Platform, including but not limited to meal planning, recipe management, ingredient tracking, and subscription services.
Subscription Fee: means the fee you are obliged to pay to DailyPrep for the use of the Platform and the Services depending on the subscription plan selected by you.
User: means any individual or entity that uses the Platform subject to the terms of these Terms.
User Content: any content, data, information, recipes, meal plans, ingredients, or other materials that you create, upload, or submit to the Platform.
Website: the website and application through which DailyPrep provides its services.
The purpose of these Terms is that a User may use the Platform developed by DailyPrep for meal planning, recipe management, and related services. The purchase, ownership, receipt or possession of any part of the Platform carries no rights, express or implied, other than the right to use the Platform as prescribed under these Terms.
Each User subscription to the Platform shall entitle one User to use the Platform, subject to the terms of these Terms and the subscription plan selected. User subscriptions cannot be shared or used by more than one User (but may be reassigned from time to time if authorized by DailyPrep).
Under these Terms, DailyPrep is granting the User with a limited, personal, non-exclusive and non-transferable license to access the Platform, use the Services, and create User Content for personal or commercial purposes as permitted by your subscription plan.
You shall use the Platform and the Services solely for lawful purposes and shall not:
You may register an Account on the Platform for your personal use only. This Account is personal and non-transferable. You agree to immediately notify DailyPrep if you discover or otherwise suspect any security issues related to the Platform or your Account.
You are responsible for maintaining the confidentiality of your Account information, including your password, and for all activities that occur under your Account. You agree to notify DailyPrep immediately of any unauthorized use of your Account or any other breach of security.
You agree to pay all fees applicable to your use of the Platform using one of the payment methods supported by DailyPrep. Except as otherwise specified in these Terms: (a) fees are quoted and payable in Accepted Currencies, and (b) payment obligations are non-cancellable, and fees paid are non-refundable except as required by law or as explicitly stated in these Terms.
Subscription Fees for the Platform are charged on a monthly basis and will automatically renew unless cancelled. You may cancel your subscription at any time, and cancellation will take effect at the end of your current billing period.
If DailyPrep does not receive payment within the due date (which is typically the billing date for subscription services), DailyPrep may, without liability to you, disable your password, Account and access to all or part of the Platform or Services and DailyPrep shall be under no obligation to provide any or all of the Services while the payment remains unpaid.
DailyPrep shall be entitled to increase the Subscription Fee upon 30 days' prior notice to you, and in that case you shall have the right to terminate the subscription.
You retain ownership of any User Content you create, upload, or submit to DailyPrep. By submitting User Content, you grant DailyPrep a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content solely for the purpose of providing and improving our services.
You represent and warrant that: (i) you own all rights in your User Content or have obtained all necessary rights and permissions; (ii) your User Content does not infringe the rights of any third party; (iii) your User Content does not violate any Applicable Law; and (iv) your User Content is not defamatory, obscene, or otherwise harmful.
DailyPrep reserves the right to review any User Content, and to investigate and/or take appropriate action against you if you violate these Terms. Such action may include removing or modifying your User Content, terminating your Account, and/or reporting you to law enforcement authorities.
All Intellectual Property rights in and to the Platform shall belong absolutely to DailyPrep both during the term of these Terms and thereafter. These Terms do not operate to vest in you any right, title or interest to or in the Intellectual Property of DailyPrep.
Unless otherwise specified in these Terms, all materials, including the arrangement of them on the Platform are the sole property of DailyPrep, or the property of DailyPrep's suppliers and licensors. All rights not expressly granted herein are reserved.
You acknowledge that you do not have any rights whatsoever to use or to license or authorise any third party to use any DailyPrep's Intellectual Property without the prior written consent of DailyPrep.
You represent and warrant that:
YOUR ACCESS TO AND USE OF THE PLATFORM, ITS CONTENT, AND ANY SERVICES, OR ITEMS OBTAINED THROUGH YOUR USE OF THE PLATFORM IS AT YOUR OWN RISK. YOU UNDERSTAND AND AGREE THAT THE PLATFORM, THE SERVICES, OR OTHER ITEMS OBTAINED THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. DailyPrep DISCLAIMS ALL RESPONSIBILITY FOR, THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, LEGALITY, SAFETY, OR AVAILABILITY OF THE PLATFORM.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DailyPrep SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.
IN NO EVENT SHALL THE MAXIMUM AGGREGATE LIABILITY OF DailyPrep ARISING OUT OF OR IN ANY WAY RELATED TO THESE TERMS, THE ACCESS TO AND USE OF THE PLATFORM AND/OR SERVICES EXCEED THE GREATER OF (A) $2000.00 OR (B) THE AMOUNT RECEIVED BY DailyPrep IN THE PAST 6 MONTHS FROM THE PROVISION OF SERVICES THAT ARE THE SUBJECT OF THE CLAIM.
Some jurisdictions prohibit certain warranty disclaimers or limitations on liability, so only disclaimers or limitations that are lawful in the applicable jurisdiction will apply to you.
You agree to indemnify and hold harmless DailyPrep, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of another; or (e) your violation of any Applicable Law.
DailyPrep may terminate these Terms and your access to the Platform at any time with immediate effect without giving prior written notice if: (a) you commit a material breach of any provision of these Terms; (b) you commit fraud; (c) it is required to do so due to an amendment of Applicable Law; or (d) DailyPrep reasonably believes that you are involved in activities that would qualify as a criminal offence.
DailyPrep may terminate these Terms for any reason by providing you at least 30 days' advance notice.
You may terminate these Terms and delete your Account at any time through your account settings or by contacting customer support. Upon termination, your right to use the Platform will immediately cease.
DailyPrep reserves the right to modify these Terms at any time. We will notify users of any material changes by posting the new terms on this page and updating the "Last Updated" date. Your continued use of the Platform after such changes constitutes acceptance of the modified terms. If you do not agree to the modified terms, you must stop using the Platform.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which DailyPrep operates, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms shall be resolved through good faith negotiation. If the dispute cannot be resolved through negotiation, it shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association, except where prohibited by law.
Entire Agreement: These Terms constitute the entire agreement between you and DailyPrep regarding the use of the Platform.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver: No failure to enforce any provision of these Terms shall constitute a waiver of that provision.
Assignment: You may not assign these Terms without DailyPrep's prior written consent. DailyPrep may assign these Terms without restriction.
Notices: Notices to you may be sent to the email address associated with your Account. Notices to DailyPrep should be sent through the contact information provided in the Platform.
